Terms of Service

1. Agreement and acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Solvryns LLC, a New Jersey limited liability company (“Solvryns,” “we,” “us,” or “our”), governing your access to and use of the Solvryns website at solvryns.com and the Solvryns accounting software platform (collectively, the “Service”).

By creating an account, joining the waitlist, or otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Description of service

Solvryns provides cloud-based accounting software for small businesses, including features such as bank transaction feeds, automated transaction categorization, accounts payable and receivable management, financial reporting, and related tools.

Important: Solvryns is accounting software, not a licensed accounting firm, financial advisor, or tax professional. Information provided through the Service is for organizational and informational purposes only and does not constitute professional accounting, financial, tax, or legal advice. You should consult a qualified professional for advice specific to your situation.

3. Accounts and eligibility

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use Solvryns. By using the Service, you represent that you meet these requirements. Solvryns is intended for business use and not for personal, family, or household purposes.

Account registration

You agree to provide accurate, current, and complete information when creating your account and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Account security

You agree to notify us immediately at hello@solvryns.com if you become aware of any unauthorized access to your account. Solvryns will not be liable for any loss resulting from unauthorized use of your account that occurs before notification.

4. Subscription and billing

Plans and pricing

Solvryns offers paid subscription plans as described on our pricing page. Prices are in US dollars and are subject to change with 30 days’ notice to existing subscribers.

Free trial

New accounts receive a 30-day free trial. No credit card is required to start a trial. At the end of the trial period, you will need to select a paid plan to continue using the Service. If you do not select a plan, your account will be suspended and data retained for 90 days.

Billing

Subscriptions are billed monthly or annually in advance. All payments are processed securely through Stripe. You authorize us to charge your payment method on file for all applicable fees. Subscription fees are non-refundable except as required by law or as described in our refund policy below.

Refund policy

If you cancel within the first 30 days of a paid subscription (after your free trial), we will provide a full refund. After 30 days, subscriptions are non-refundable. To request a refund, contact hello@solvryns.com.

Founding member pricing

Users who join during our founding member period and maintain an active subscription will have their original plan pricing locked for as long as they remain continuously subscribed. Downgrading or canceling your subscription will forfeit founding member pricing.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period you have paid for.

5. Acceptable use

You agree to use Solvryns only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Use the Service to process transactions related to illegal activities, including money laundering or fraud
• Attempt to gain unauthorized access to any portion of the Service or any other systems connected to the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use automated tools (bots, scrapers) to access the Service without our written permission
• Share your account credentials with unauthorized third parties
• Upload or transmit viruses, malware, or other malicious code
• Use the Service to store or transmit content that is defamatory, obscene, or otherwise objectionable

We reserve the right to suspend or terminate accounts that violate these provisions without refund.

6. Your data and content

Ownership

You retain full ownership of all data and content you submit to Solvryns, including your financial transaction data, business records, and any files you upload. We do not claim ownership of your data.

License to operate the service

By submitting data to Solvryns, you grant us a limited, non-exclusive, worldwide license to use, store, process, and display your data solely for the purpose of providing the Service to you. We do not use your data for any other purpose.

Data export

You may export your data at any time in standard formats (CSV, PDF) from within the Service. We will also provide a data export upon request within 30 days of account cancellation.

Accuracy

You are solely responsible for the accuracy and completeness of the financial data you enter into Solvryns. Solvryns is not responsible for errors in your financial records that result from inaccurate data entry or bank feed discrepancies.

7. Financial data and third-party connections

Solvryns integrates with third-party services including Plaid (bank connections), Stripe (payments), Anthropic, and OpenAI (automation features). Your use of these integrations is subject to the terms and privacy policies of those third parties in addition to these Terms. Financial transaction data shared with Anthropic and OpenAI for processing does not include personally identifiable information.

By connecting your bank accounts through Plaid, you authorize Plaid to retrieve and share your financial transaction data with Solvryns for the purpose of providing accounting services. You may revoke this authorization at any time from your account settings.

Solvryns is not responsible for the availability, accuracy, or security of data provided by third-party financial institutions or service providers.

8. Intellectual property

The Solvryns name, logo, website, software, and all related intellectual property are owned by Solvryns LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to use Solvryns trademarks, logos, or other proprietary materials without our prior written consent.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy of any financial reports, calculations, or suggested categorizations produced by the Service. You are responsible for reviewing and verifying all financial data and reports.

Solvryns is not a licensed accounting firm and the Service does not constitute professional accounting advice. Always consult a licensed CPA or accountant for professional guidance.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLVRYNS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Solvryns LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include violation of these Terms, non-payment, or conduct that we determine to be harmful to other users or the Service.

Upon termination, your right to use the Service will immediately cease. We will retain your data for 90 days following termination, during which you may request an export. After 90 days, your data will be permanently deleted.

13. Governing law and disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in New Jersey in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. Changes to these terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email to the address associated with your account at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
